Terms of Service

These Terms of Service (“Terms”) govern your use of the First Gear AI website (https://firstgear.ai) and all related services provided by Haole II LLC (“we,” “us,” or “our”). By accessing our website, purchasing a service tier, or using any of our tools, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services.

What We Provide

First Gear AI provides an AI-powered business operating system called Peggy. Depending on your service tier, we provide:

  • A guided setup session to deploy Peggy into your own infrastructure
  • A Supabase database schema (SQL) configured for your business
  • A system prompt and AI configuration for use with Anthropic’s Claude
  • A user guide and reference documentation
  • Dashboard access (on applicable tiers)
  • Ongoing support as specified by your service tier

We deploy these tools into your own accounts. After setup, you own and control your database, your AI conversations, and your data.

Third-Party Requirements

Our product requires you to maintain active accounts with third-party services that we do not own, operate, or control:

  • Anthropic (Claude): A Claude Pro, Max, or API subscription is required to use Peggy. You purchase this directly from Anthropic. We are not affiliated with Anthropic and are not responsible for Claude’s availability, performance, outputs, pricing changes, or terms of service.
  • Supabase: A Supabase account (free tier or paid) is required to host your Peggy database. You create and manage this account directly with Supabase. We are not responsible for Supabase’s availability, performance, data handling, or terms of service.
  • Other tools: Depending on your configuration, you may optionally connect Google Workspace, Notion, or other services. These are governed by their own terms.

Changes to third-party services (pricing, features, availability, or terms) may affect your ability to use Peggy. We will make reasonable efforts to adapt our product to significant third-party changes, but we cannot guarantee compatibility with future versions of third-party services.

Your Data

You own your data. Completely.

  • All data stored in your Supabase database belongs to you.
  • All conversations you have with Claude belong to you (subject to Anthropic’s terms).
  • We do not access, view, copy, or store your Peggy data after the initial setup session.
  • If you cancel your subscription, your data remains in your Supabase database. We cannot delete it because we do not have access to it.

The only data we store is your account information (name, email, payment details) as described in our Privacy Policy.

Intellectual Property

What You Own

  • All data you create and store in your Peggy database
  • All content you generate through your use of the tools
  • Your business processes, workflows, and customizations built on top of our system

What We Own

  • The Peggy system prompt, instructions, and AI configuration
  • The database schema design, SQL scripts, and structural architecture
  • The dashboard code, components, and interface design
  • Our brand, trademarks, website content, and marketing materials
  • Documentation, guides, and training materials

Your License

When you purchase a service tier, we grant you a non-exclusive, non-transferable license to use our proprietary materials (system prompt, schema, dashboard) for your own business operations. This license remains active for as long as your subscription is current.

You may not:

  • Redistribute, resell, sublicense, or share our system prompt, schema, or dashboard code with third parties
  • Use our materials to create a competing product or service
  • Remove or alter any proprietary notices or branding
  • Reverse engineer our systems for the purpose of replication or redistribution

Payments and Billing

  • All prices are listed on our website at the time of purchase and are in US dollars.
  • Payments are processed securely through Stripe.
  • Subscription tiers renew automatically at the end of each billing period unless cancelled.
  • We will provide at least 14 days’ notice before any price increases take effect on your account.
  • Failed payments may result in service suspension. We will attempt to notify you before suspending access.

Refund Policy

We stand behind our product.

  • Within 30 days of purchase: Contact us at hello@firstgear.ai for a full refund. No questions asked.
  • After 30 days: Refunds are handled on a case-by-case basis. Contact us and we will work with you to find a fair resolution.

Refunds are processed back to your original payment method within 5-10 business days.

Cancellation

You may cancel your subscription at any time by emailing hello@firstgear.ai or through your account settings (when available).

Upon cancellation:

  • Your access to support and dashboard features ends at the close of your current billing period.
  • Your Peggy database and all data remain in your Supabase account — we cannot and will not delete them.
  • Your system prompt and AI configuration remain functional in your Claude setup.
  • You retain the right to continue using the deployed infrastructure for personal business use, but the license to redistribute or share it terminates.

Acceptable Use

You agree not to use our services to:

  • Violate any applicable law or regulation
  • Harm, harass, threaten, or defraud any person
  • Transmit malware, spam, or other harmful content
  • Attempt to gain unauthorized access to our systems or other users’ data
  • Reverse engineer, decompile, or disassemble our proprietary technology for competitive purposes
  • Use our services to build a competing product
  • Misrepresent your affiliation with First Gear AI

We reserve the right to suspend or terminate your access if we reasonably believe you are violating these terms.

Account Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay for your subscription after reasonable notice
  • We are required to do so by law
  • We discontinue the service (with at least 60 days’ notice)

If we terminate your account for cause, refunds are not guaranteed. If we discontinue the service, we will provide a prorated refund for any unused subscription period. Upon termination, your data in your own Supabase database remains yours and is unaffected.

Disclaimers

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Output Disclaimer: Peggy uses Anthropic’s Claude to generate responses, recommendations, and content. AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating any AI-generated content before relying on it for business decisions. We do not guarantee the accuracy, reliability, or suitability of AI outputs.

No Business Outcome Guarantee: We do not guarantee specific business outcomes, revenue increases, time savings, or operational improvements from using our services.

Third-Party Services: We are not responsible for the performance, availability, security, or policies of third-party services including Anthropic, Supabase, Stripe, Google, or any other service you connect to Peggy.

Limitation of Liability

To the maximum extent permitted by applicable law, Haole II LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total aggregate liability for any claims arising out of or related to these Terms or your use of our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.

We are not liable for damages caused by third-party service outages, AI-generated content or recommendations you act upon, data loss in your own database due to your actions or third-party failures, or unauthorized access resulting from your failure to secure your credentials.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Haole II LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any law or third-party rights.

Dispute Resolution

Before filing any formal claim, you agree to contact us at hello@firstgear.ai and attempt to resolve the dispute informally for at least 30 days. These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes not resolved informally shall be resolved in the state or federal courts located in Travis County, Texas.

Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and notify you by email at least 14 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you may cancel your subscription before the changes take effect.

SMS Messaging Terms

Program Name: First Gear AI

Program Description: First Gear AI sends SMS messages to customers and prospects who opt in, including appointment reminders, account and service updates, onboarding instructions, and occasional promotional messages.

Message Frequency: Message frequency varies.

Cost: Message and data rates may apply.

Opt-Out: You can opt out at any time by replying STOP to any message. After replying STOP, you will receive a one-time confirmation message and no further messages will be sent.

Help: Reply HELP for assistance, or contact customer support at hello@firstgear.ai.

Carrier Disclosure: Carriers are not liable for any delayed or undelivered messages.

Privacy: For information on how we handle phone numbers and SMS consent, see our Privacy Policy. Mobile information and SMS opt-in consent will not be shared with third parties or affiliates for marketing or promotional purposes.

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Haole II LLC regarding your use of our services. If any provision is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision does not constitute a waiver of that provision. You may not assign your rights under these Terms without our written consent.
